Terms of Use

These Terms govern access to and use of ZDZCloud's corporate website. They are written in plain language on purpose: a document the reader cannot understand is interpreted against the party who drafted it (Brazilian Consumer Protection Code, art. 47 and art. 54, §§ 3 and 4).

1. Who we are

Publishing this information is mandatory for e-commerce in Brazil (Decree 7,962/2013, art. 2, I and II). "ZDZCloud" is a trade name of the same legal entity.

2. Purpose and acceptance

These Terms govern access to and use of the website zdzcloud.com.br. By browsing the website, you agree to these conditions; if you do not agree, do not use it.

The website is free and open to access: no registration, account, subscription, or payment is required to read it.

3. This website and our products

These Terms cover the corporate website exclusively. The contracting of any ZDZCloud product or platform — such as ZDZAgentsOS — is governed by its own terms, served within each product, which prevail over these Terms in whatever is specific to that engagement.

4. Nature of the content

Texts, articles, demonstrations, product pages, and supporting materials are informational and promotional in nature. They do not constitute a binding commercial offer, nor legal, accounting, financial, or investment advice, nor a guarantee of results.

Any prices, timelines, capabilities, or availability mentioned are references subject to change, and only become binding through a formal proposal.

Animated demonstrations illustrate product concepts and flows; they do not necessarily represent the exact performance, data, or interface of a real installation.

5. Interactive tools

The website offers tools such as a BI cost calculator, an AI readiness assessment, and a product selector. About them:

• they run entirely in your browser; the values you enter are not transmitted to us or to third parties;
• they produce estimates based on general market assumptions, which may not match your reality;
• they do not replace a technical or commercial analysis of your specific case;
• they do not, by themselves, create any obligation for either party.

6. Voice message

Every page of the website has a button that lets you record and send a voice message to our sales team. Unlike the tools in section 5, this feature transmits data to us — which is why it has its own rules:

• Recording happens in your browser and nothing is transmitted until you tap Send. You can listen, re-record, or close the page without sending us anything. Its use is optional: a form, e-mail, and WhatsApp are always available as alternatives.
• By tapping Send, you declare that you are the author of the message and that you agree that ZDZCloud may keep it in order to contact you. How this audio is processed — what we store with it, for how long (up to 90 days), and how to request deletion — is described in the Privacy Policy, sections 4, 5, and 9.
• You agree not to include in the audio: third-party data without authorization; sensitive personal data (art. 5, II, of the LGPD — health, political opinion, biometrics, and the like); unlawful or offensive content, or content that violates third-party rights; or material protected by someone else's copyright. You are responsible for what you record.
• The message is informational material to start a conversation — it is not, by itself, a binding commercial offer or a contract, and merely sending it does not bind either party (in line with section 2).
• We may choose not to respond to a message, and we may immediately delete audio that violates the rules above, without this creating any obligation for ZDZCloud.

7. Intellectual property

All website content — texts, layout, visual identity, trademarks, logos, illustrations, animations, and code — is owned by ZDZCloud or its licensors and protected under Brazilian Law 9,610/1998 (copyright), Law 9,279/1996 (industrial property), and Law 9,609/1998 (software).

You may: read, print for personal use, and share links to the content, with attribution.

Prior written authorization is required to: reproduce or republish the content in another medium; use it for commercial purposes; create derivative works; and extract content in an automated, bulk fashion (scraping), including for training artificial intelligence models.

Third-party trademarks mentioned here belong to their respective owners and are cited for descriptive purposes only.

8. Acceptable use

When using the website, you agree not to:

• attempt to gain unauthorized access to systems, accounts, or infrastructure;
• interfere with the availability of the service, including through abnormal request volumes;
• circumvent technical protection measures;
• use the website for unlawful activity or activity that violates third-party rights.

9. Availability and maintenance

We make reasonable efforts to keep the website available and accurate, but it is provided "as is". We do not guarantee uninterrupted or error-free operation, and we may change, suspend, or discontinue any part of the website at any time. Since access is free of charge and involves no contract, such discontinuation does not give rise to compensation.

10. Third-party links

The website may contain links to third-party pages, offered for convenience. We do not control those destinations and are not responsible for their content, privacy practices, or terms.

11. Limitation of liability

To the maximum extent permitted by applicable law, ZDZCloud is not liable for indirect damages, lost profits, or loss of data or opportunity arising from the use of, or inability to use, the website, or from decisions made based on its informational content or on the estimates produced by its tools.

Nothing in these Terms limits any right that Brazilian law, in particular the Consumer Protection Code, guarantees in a non-waivable manner.

12. Data protection

Data processing on this website is described in the Privacy Policy, which forms part of these Terms. In the event of a conflict regarding data protection, the Policy prevails.

13. Term and changes

These Terms are effective as of the date indicated at the top. We may revise them at any time; the version and date at the top identify the text in force, and continued use of the website after publication implies acceptance of the current version.

14. Governing law and jurisdiction

Brazilian law applies, including the Consumer Protection Code, the Civil Code, the Internet Civil Framework (Marco Civil da Internet), and the General Data Protection Law (LGPD).

If you are a consumer, the courts of your place of residence have jurisdiction, without prejudice to any other venue the law grants you. ZDZCloud does not invoke a different choice-of-forum clause against consumers.

In all other cases, the parties elect the courts of the district of ZDZCloud's headquarters, São Paulo/SP, consistent with the connection requirement of art. 63 of the Brazilian Code of Civil Procedure, as amended by Law 14,879/2024.

Before any judicial measure, the parties will seek an amicable solution through the channel in section 15. ZDZCloud does not impose arbitration.
